End User License Agreement (EULA)

This End User License Agreement (“EULA”) is between FerroIT B.V. (“FerroIT”, “we”, “our”) and the individual or entity installing or using the Software (“Licensee”, “you”).
This EULA governs the installed FerroIT software component made available to support use of FerroIT’s hosted services and related offerings (the “Software”).
If you use the Software on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization.
1. Relationship to other agreements
If you or your organization have an Order Form, Terms of Service, master agreement, Statement of Work, or other service agreement with FerroIT (together, the “Service Agreement”), then:
- this EULA governs the installed Software component specifically;
- the Service Agreement governs the broader commercial relationship, hosted services, privacy and data processing arrangements, fees, support, and other matters beyond the installed Software component; and
- if there is a conflict, the following order of precedence applies unless expressly agreed otherwise in writing:
- Order Form;
- Statement of Work;
- Terms of Service or master service agreement; and
- this EULA.
If your right to use the Software depends on an active Service Agreement or active subscription, your license under this EULA automatically ends when that Service Agreement or subscription ends, unless expressly agreed otherwise in writing.
2. License grant
Subject to your compliance with this EULA and any applicable Service Agreement, FerroIT grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software solely:
- for your internal business purposes; and
- in connection with FerroIT’s Services.
3. Restrictions
You will not, and will not permit any third party to:
- copy, modify, translate, or create derivative works of the Software except where mandatory law requires otherwise;
- reverse engineer, decompile, disassemble, or attempt to derive source code except where mandatory law requires otherwise;
- remove, obscure, or alter proprietary notices;
- sell, rent, lease, distribute, sublicense, or make the Software available to third parties;
- exceed user, device, or usage limits stated in documentation or an order form;
- introduce malware or interfere with the Software’s integrity, availability, or security; or
- use the Software in violation of law.
4. Authorized users and responsibility
You are responsible for:
- ensuring that only authorized personnel use the Software;
- maintaining reasonable security and access controls on systems where the Software is installed;
- your configuration choices and use of outputs or results; and
- verifying suitability before relying on outputs.
5. Updates, support lifecycle, and mandatory versions
FerroIT may provide patches, updates, upgrades, or new versions of the Software.
Unless FerroIT states otherwise:
- updates are part of the Software and governed by this EULA;
- you may be required to install certain updates to maintain compatibility, supportability, or security;
- FerroIT may designate minimum supported versions and end-of-support dates;
- where FerroIT notifies you that a critical security update is mandatory, you must implement it within the period stated in the notice or, if no period is stated, within a reasonable time; and
- FerroIT may limit support or compatibility for outdated versions after end-of-support.
6. Data, diagnostics, and privacy
Depending on configuration and use, the Software may process or transmit:
- device and application identifiers;
- version and environment information;
- operational logs and diagnostics;
- security and error events; and
- data you choose to submit to FerroIT’s Services.
Where the Software transmits Personal Data to FerroIT as part of the Services, the processing is governed by the applicable Service Agreement, Privacy Policy, and DPA where relevant.
Diagnostic and telemetry data may be used for:
- security;
- troubleshooting;
- performance monitoring; and
- product reliability and improvement.
FerroIT will limit telemetry to what is reasonably necessary for those purposes. Where non-essential telemetry is offered separately, FerroIT may provide configuration choices or opt-out options as described in product documentation or the applicable Privacy Policy.
7. Intellectual property
The Software is licensed, not sold. FerroIT and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. You receive only the rights expressly granted in this EULA.
8. Third-party components
The Software may include third-party or open source components subject to their own license terms. Those terms apply to the relevant components. FerroIT will provide notices where required.
9. Security and compliance references
FerroIT’s software and service security program may include controls aligned with recognized standards and frameworks, depending on the relevant services and operational scope, including:
- ISO/IEC 27001;
- SOC 2 Type II; and
- applicable cybersecurity resilience obligations, including NIS2-related requirements where relevant.
References to standards or frameworks in this EULA do not constitute a representation that FerroIT holds any particular certification unless expressly stated in writing.
10. Warranty disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED “AS IS” AND FERROIT DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- FERROIT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION.
- FERROIT’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS EULA WILL NOT EXCEED THE AMOUNTS PAID FOR THE SOFTWARE OR, IF THE SOFTWARE IS PROVIDED AS PART OF A SUBSCRIPTION OR SERVICE AGREEMENT, THE AMOUNTS PAID UNDER THE APPLICABLE ORDER FORM OR SERVICE AGREEMENT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in this EULA excludes or limits liability that cannot be excluded or limited under applicable law.
12. Term and termination
This EULA continues until terminated.
You may terminate this EULA by uninstalling the Software and ceasing all use.
FerroIT may terminate this EULA if you materially breach it and fail to cure within a reasonable period after notice, or immediately if the breach is not curable or creates a material security, legal, or compliance risk.
Upon termination, you must stop using the Software, uninstall it, and destroy any copies, except to the extent retention is required by law.
13. Export controls and compliance
You will comply with applicable export control, sanctions, and trade laws in connection with the Software.
14. Governing law and venue
This EULA is governed by the laws of the Netherlands, excluding conflict-of-law rules. The competent courts in Amsterdam, the Netherlands have exclusive jurisdiction, unless mandatory law provides otherwise.
15. Entire agreement
This EULA is the entire agreement between you and FerroIT regarding the installed Software component, except as supplemented or superseded by the applicable Service Agreement under Section 1.
